Company secretary or compliance officer?
Companies
Under the Companies Act 2016, every company must appoint at least one qualified company secretary within 30 days of incorporation.
LLPs
An LLP needs a compliance officer instead: one of its partners, or a person qualified to act as a company secretary, who is a Malaysian citizen or permanent resident ordinarily residing in Malaysia.
Key requirements
| Officers | Sdn Bhd: at least one director ordinarily resident in Malaysia and one shareholder, who may be the same person. LLP: at least two partners and a compliance officer. |
|---|---|
| Registered office | A registered office in Malaysia where the statutory records are kept. |
| Statutory registers | Registers of members, directors, secretaries, beneficial owners and charges, kept current at the registered office. |
| Corporate changes | Changes of directors and secretaries are notified to SSM within 14 days; new shares need a return of allotment within 14 days. |
| Personal exposure | The company and every officer in default commit an offence. A late annual return risks compounds or a fine of up to RM50,000. |
