Company secretary and compliance
Is a company secretary mandatory?
Yes. Under the Companies Act 2016, every company must appoint at least one qualified company secretary within 30 days of incorporation. We can act as your named company secretary.
Does an LLP need a company secretary?
An LLP needs a compliance officer instead: one of its partners, or a person qualified to act as a company secretary, who is a Malaysian citizen or permanent resident ordinarily residing in Malaysia. We can provide a qualified compliance officer.
What ongoing compliance applies to a company?
Statutory registers, the annual return, financial statements (audited where required), beneficial ownership updates and up-to-date SSM filings. We manage all of this for you.
Do you provide a registered office address?
Yes. A registered office address is included in our company secretary fee of RM100 a month.
LLP and company closure
Can we leave a dormant LLP alone?
No. An LLP must lodge its annual declaration every year until it is dissolved, and late lodgement is an offence carrying a fine of up to RM20,000. If the LLP has stopped operating, winding it up properly closes that obligation.
How long does winding up an LLP take?
Timing depends mostly on LHDN's no-objection letter. After that, the application must follow the notices within seven days, and the Registrar can declare the LLP dissolved 30 days after the application if no one objects.
What documents are needed to wind up an LLP?
A statutory declaration by the applying partner, a copy of the notice sent to every partner, LHDN's written notice of no objection, and copies of the two newspaper notices.
Can an LLP with debts be wound up voluntarily?
No. The voluntary route is for an LLP that has ceased to operate and discharged all its debts and liabilities, other than those owed to its partners. We will explain the alternatives and work with approved liquidators where needed.
Do you handle company strike-off?
Yes. A dormant Sdn Bhd with no assets or liabilities can apply to SSM under section 550 of the Companies Act 2016, once its lodgements are up to date and its bank account is closed.
AMLA and KYC
Why do you need my identity documents?
As a reporting institution under AMLA, we must verify every client, director, shareholder and beneficial owner before we act, and keep those records. It is the law, not mistrust.
How do you verify identity?
We verify MyKad with a card reader, and ask for proof of address and mobile number. Some clients are also asked about the source of funds.
How long do you keep records?
Due diligence and transaction records are kept for at least six years, as AMLA requires.
Payroll
When does the RM2,000 minimum wage start?
Budget 2027 raises the minimum wage from RM1,700 to RM2,000 from June 2027. Micro, small and medium enterprises with annual sales below RM50 million are exempted from the new rate, and further details are still to be published.
Enterprises and licences
Do you register sole proprietorships and partnerships?
Yes. We register enterprises with SSM, renew them and handle changes and termination, from RM300. A business must be registered within 30 days of starting, and changes and termination are notified to SSM within 30 days.
Can you apply for CIDB, trademark or MM2H licences?
Yes. We handle licence applications for companies, such as CIDB registration, adding CIDB scope and upgrading your grade, trademark filing with MyIPO and MM2H licences. Each one is quoted after a free consultation, including any authority fees, before we start.
CIDB
Who needs to register with CIDB?
Every contractor, local or foreign, must register with CIDB under section 25 of the CIDB Act 1994 (Act 520) before carrying out construction work in Malaysia. A contractor cannot bid for or carry out work once its certificate has expired.
What do the CIDB grades G1 to G7 mean?
The grade sets the size of contract you can take on. G1 covers contracts up to RM200,000, and each higher grade allows larger contracts, up to G7 with no limit. Higher grades need more paid-up capital and more qualified technical staff.
Can I add a category or specialisation to my CIDB registration?
Yes. This is often called adding scope. CIDB approves a new category or specialisation when the company can show proof such as completed projects in that field, a competent person, registration with the relevant agency, or experienced technical staff. We prepare the application and the supporting documents.
How do I upgrade my CIDB grade?
The company applies to CIDB once it meets the new grade's requirements, mainly paid-up capital and qualified technical staff, with its financial information updated. We check what your target grade needs, help close any gap, such as increasing paid-up capital through a share allotment, and submit the application.
Do you handle CIDB renewals and updates?
Yes. We track your expiry date and renew before the certificate lapses, and update CIDB when your shareholders, capital or technical staff change.
How much do CIDB services cost?
Each CIDB application is quoted after a free consultation, together with CIDB's own processing and registration fees, so you know the full cost before we start.
Fees
How much do you charge?
New incorporation is from RM2,388 nett, with SSM fees included. Company secretary is RM100 a month with the registered office address included: a one-year contract for the first year, then billed quarterly at the same rate. LLP winding up is from RM3,000 with the newspaper notices included, excluding outstanding penalties and compounds. Enterprise services start from RM300, and licence applications such as CIDB, trademark and MM2H are quoted after a free consultation.
How are fees structured?
You get a clear, no-obligation quote once we understand your plans, so you know the cost before any work starts.
